Sanctions Compliance. Prohibition on Re-export to Russia and Belarus.

Re-export prohibitions

The Buyer shall not sell, export, re-export, transfer, supply or otherwise make available, directly or indirectly, the Products supplied under this Agreement to or for use in the Russian Federation or the Republic of Belarus in violation of applicable European Union sanctions and export control regulations.

The Buyer shall use its best efforts to ensure that the purpose of this provision is not frustrated by any third parties further down the commercial chain, including distributors, resellers, contractors or end users.

The Buyer shall establish and maintain adequate monitoring and compliance mechanisms to detect and prevent any unauthorized re-export, transfer or diversion of the Products to Russia or Belarus.

Any breach of this clause shall constitute a material breach of the Agreement. In such event, the Seller shall be entitled to suspend or terminate any outstanding orders, cease further deliveries and seek compensation for any losses, damages, costs or liabilities arising from the breach. Upon request, the Buyer shall promptly provide information regarding the end-use, end-user and destination of the Products as reasonably required by the Seller for sanctions and export control compliance purposes.
